I could get an 16gig ipod touch 1st gen for $340, or a 2nd gen for $415

is a 2nd gen realy worth the extra money?

and whats up with firmware 2.1 and 2.1.1 ont he touch?

Yeah get the 2nd gen. one for sure! I have one and am very happy with it. It has an in-built speaker and you can play apps on it.
